NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into by and between:

GLOWWA BEAUTY LTD, a company incorporated under the laws of England and Wales, with its principal office located at Bonded Warehouse, 18 Lower Byrom Street, Manchester, M3 4AP ("Disclosing Party"), and the undersigned business ("Receiving Party").

1. Purpose

The purpose of this Agreement is to protect the confidential information disclosed by GLOWWA BEAUTY LTD to the Receiving Party in relation to the online training program for hairdressers ("Training").

2. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged. Confidential Information includes but is not limited to:

• Training materials, including videos, documents, presentations, and any other content provided during the Training.
• Techniques, methodologies, and proprietary processes discussed during the Training.
• Any other information disclosed by GLOWWA BEAUTY LTD that is not generally known to the public.

3. Obligations of Receiving Party

The Receiving Party agrees:

1. a) Non-Disclosure:Not to disclose any Confidential Information to any third party.
2. b) Non-Use:Not to use any Confidential Information for any purpose other than participating in the Training.
3. c) Protection:To take all necessary measures to protect the confidentiality of the Confidential Information.
4. d) No Recording or Screenshotting:Not to record, screenshot, or otherwise capture any part of the Training.
5. e) No Removal:Not to remove any Training materials from the online platform or share them with anyone outside of the Training.
6. Exclusions from Confidential Information

Confidential Information does not include information that:

1. a) Is or becomes generally available to the public through no wrongful act of the Receiving Party.
2. b) Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
3. c) Is rightfully received from a third party without breach of any obligation of confidentiality.
4. d) Is disclosed with the prior written consent of the Disclosing Party.
5. Term

This Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until such Confidential Information no longer qualifies as confidential or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement, whichever occurs first.

6. Return of Materials

Upon completion of the Training or at the request of GLOWWA BEAUTY LTD, the Receiving Party agrees to return all materials containing Confidential Information and any copies thereof to the Disclosing Party.

7. Remedies

The Receiving Party acknowledges that any unauthorized use or disclosure of Confidential Information may cause the Disclosing Party irreparable harm. In the event of a breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

9. Miscellaneous
10. a) Entire Agreement:This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
11. b) Amendments:This Agreement may be amended or modified only by a written agreement signed by both parties.
12. c) Severability:If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
13. d) Waiver:No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach.
